David Taniguchi is a partner in Gowlings' Calgary office. His practice focuses on mergers and acquisitions, corporate finance matters and corporate governance and public disclosure related issues.
Prior to joining Gowlings, David was a partner at the Calgary office of a national law firm. Prior to that he served as senior counsel and assistant corporate secretary of Shaw Communications Inc., Western Canada's largest cable television and Internet company. There, he focused on corporate finance, strategic transactions, corporate governance and corporate secretarial matters.  David has acted as counsel on financings, strategic transactions and corporate governance-related matters, including acting as counsel to the following:
Corporate Finance:
- TransCanada Corporation in a number of its equity financings, including its offerings of common shares, reset preferred shares and subscription receipts for aggregate proceeds of over $7 billion
- TransCanada PipeLines Limited in a number of its cross-border debt financings, including its offerings of senior notes, medium term notes and subordinated "hybrid" notes, and its commercial paper program
- Capital Power Corporation in a $150 million rate reset preferred shares offering
- Keyera Facilities Income Fund in a $80 million convertible debenture offering
- Syndicate of underwriters led by RBC Capital Markets in a $200 million common share offering of Trican Well Service Ltd.
- Syndicate of underwriters led by CIBC World Markets in a $35 million trust unit offering of Zargon Energy Trust
- Syndicate of underwriters led by TD Securities in a $50 million convertible debenture offering of Ivanhoe Energy Inc.
Strategic Transactions:
- CNOOC Limited in its US$2.2 billion acquisition of OPTI Canada Inc.
- Recapitalization of Waldron Energy Corporation formerly known as Triton Energy Corp. and its subsequent rights offering, asset acquisition, equity offerings and listing on the Toronto Stock Exchange
- Sinopec International Petroleum Exploration and Production Corporation in its $10.3 billion acquisition of Addax Petroleum Corporation, the largest outbound acquisition by a PRC entity
- A private oil and gas company in connection with its dispositions of assets and subsequent amalgamation with Novus Energy Inc.
- A Chinese private equity fund in connection with a $100 million investment in an Alberta oil sands company
- Compton Petroleum Corporation in connection with its public company strategic review process
- Anadarko Petroleum Corporation in its US$4.1 billion disposition of its Canadian subsidiary, Anadarko Canada Corporation
Corporate Governance:
- Various public, private and not-for-profit entities on pubic disclosure and corporate governance related matters
- Shaw Communications Inc., in the capacity of Assistant Corporate Secretary overseeing corporate governance and corporate secretarial matters, public disclosure issues and documents and securities-related matters
