Alan James is a partner in Gowlings' Toronto office and head of the Firm's National Technology Industry Group. Alan practices in corporate and commercial law with an emphasis on venture capital investments in technology companies and strategic transactions relating to the development, acquisition, licensing and use of technology. Alan has advised investment funds and corporations in connection with numerous cross-border investment transactions and acquisitions.
Alan’s clients include venture capital firms, software developers, Internet-related companies, hardware manufacturers, computer products distributors, financial institutions, and videogame developers. Alan is also a former co-leader of the firm’s Private Equity & Venture Capital National Practice Group with extensive experience forming pooled investment vehicles, including venture capital, real estate and infrastructure funds.
Having spent 18 months on secondment with a leading software application provider, Alan has extensive experience negotiating a variety of commercial agreements used in the software industry. Some of the recent transactions with which Alan has been involved include:
- Representing venture capital funds, including GrowthWorks Canadian Fund, JL Albright & Partners, and Commercial Capital Ventures in connection with investments in portfolio companies;
- Representing clients that have received investments from venture capital funds, including Motoroloa Ventures, Relay Ventures, GrandBanks Capital, and Samsung Ventures; Rho Canada Ventures and Paladin;
- Assisting wireless telecommunications equipment provider with the negotiation of a product development, license and support agreement in connection with the outsourcing of manufacturing and distribution of certain products;
- Representing major sporting goods retailer in connection with the roll-out of its e-commerce program;
- Representing Sirit Inc., a global provider of radio-frequency identification solutions, in its acquisition by Federal Signal Corporation;
- Representing leading provider of credit adjudication software system with global licensing agreements with General Motors Acceptance Corporation, Ford Credit and numerous banks and financial institutions with multi-national operations; and
- Representing fund sponsors in connection with private equity fund formation, including Fengate Capital Management, Macquarie Group Limited, Standard Life and Aureos Advisors.
