Andrew Gray is a partner in Gowlings’ London office. His practice covers a broad spectrum of corporate, finance and commercial transactions, combining technical excellence with a deep and pragmatic understanding of clients' commercial objectives.
Having worked alongside Gowlings for several years providing English law advice to Gowlings clients, Andrew joined the Firm at the start of 2008. Andrew’s experience includes several years in the finance department of a major London law firm where he specialized in secured lending, financial derivatives and structured finance transactions. After spending a year gaining commercial experience in-house, Andrew spent many years in the Trade and Energy Department of a top-20 London law firm. While there, he advised clients in the energy, natural resources and transportation sectors in relation to a wide range of corporate, commercial and finance transactions. Andrew has also advised extensively in related areas of corporate integrity and director's duties.

Wind Farm Debt Finance: Advising CIBC FirstCaribbean on its participation in the USD 55 million loan facility agreement made available to NuCuraçao Windparken B.V. in connection with the development of two 15MW wind farms in Curaçao.

Power Purchase Agreement: Advising Reservoir Capital Corp. in respect of its power purchase agreement for the sale of electricity from the Brodarevo hydroelectric project in Serbia, with GDF SUEZ Energia Italia S.p.A., a wholly-owned subsidiary of the GDF SUEZ Group.

Loan Transaction: Advising a major multilateral lender on a US$150 million loan agreement with a Canadian mining company active in Mongolia and the Kyrgyz Republic.

Business Combination: Representing Artumas Group Inc. in relation to its business combination with Wentworth Resources Limited.
- Farmout Transactions: Leading (for the farmor) the legal negotiation and documentation of a successful farm-out of participating interests in the Mnazi Bay Development Licence, Tanzania, and the Onshore Area of the Rovuma Block, Republic of Mozambique.
- Sale and Royalty Transaction: Leading (for the seller) the legal negotiation and documentation of a successful sale and associated royalty transaction in relation to a participating interest in Area 1 "Offshore" of the Rovuma Block, Republic of Mozambique.
- Gas to Power Project: Acting for the sponsor in relation to all aspects of the project and project finance documentation for an East African gas-to-power project.
- Power Station Acquisition: Acting for a major South American energy company in relation to the settlement of a commercial dispute, which was effected by the acquisition of a gas-fired powered station in Brazil.
- CDM ERPA: Advising the seller in respect of a Clean Development Mechanism Emissions Reduction Purchase Agreement.
- Gas Distribution Company Acquisition: Acting for a trading company on its acquisition of an interest in a U.K. gas distribution company.
- Out-of-Court Restructuring: Drafting and negotiating a settlement agreement effecting an out-of-court restructuring amongst shareholders and creditors of an insolvent UAE oil refinery.
- Mine Disposal and Joint Venture: Drafting principal documentation and operating a data room for a client proposing to divest its interest in a mine located in the FSU. Drafting subsequent joint venture documentation for the investment program, development and operation of the mine.
- Pre-Export/Limited Recourse Finance: Acting for a banks and borrowers in relation to limited recourse and/or pre-export finance transactions including in respect of a South American oil refinery, an Eastern European steel mill and a Caribbean alumina refinery.
- Structured Asset Finance: Advising on loan and related documentation for the borrower/sponsor in relation to a large-scale pan-European asset acquisition program.
- Distressed Debt: Advising a distressed debt trader in relation to distressed debt of an Eastern European refinery. Also, acting for a lender in relation to documentation for the transfer of distressed debt owed by a Central European commodity producer.
- Commercial Contracts: Andrew advises on a wide range of commercial contracts for clients in the natural resource sectors including joint venture agreements, tolling agreements, agency agreements, commodity supply/sales contracts, asset acquisitions, intellectual property licences and escrow arrangements.

- Oil-for-Food: Advising a commodity trading company in relation to the U.N. Oil-for-Food program, in particular in relation to the Duelfer and Voelker Reports.
- Extradition: Advising a commodity trading company in relation to certain aspects of U.K. extradition law.
- Anti-Money Laundering Lectures: Preparing and delivering a series of money laundering awareness lectures to employees of a commodity trading company as part of its on-going compliance program.
