Andrew Oppenheim is the managing partner of the Gowlings' London, U.K. office, and a member of the Firms' Board and the International Management Committee. Andrew practises in the areas of corporate commercial law with an emphasis in debt financing, mergers and acquisitions, asset purchases and sales, and commercial real estate acquisition, disposition and financing. In addition he has experience in advising clients in work-outs and restructurings.
Andrew completed the Institute of Corporate Directors, Directors Education Program in January 2008 and is an Institute of Corporate Directors, Institute Certified Director ICD.D (April 2008). He is currently a director of a number of corporations, both public and private. In recent years, Andrew has been involved in the following transactions:
- represented the agent and lender syndicate in a US$400,000,000 restructuring loan facility to an oil and gas exploration company
- represented the borrower in a $175,000,000 land development loan
- advised the owner/developer on the site acquisition, financing, development and leasing of a 215,000 sq. ft. "build to suit" office and manufacturing facility; acted for the borrower in relation to high yield debt financings in excess of $200 million
- acted for lenders in cross border loans to the oil and gas industry
- acted for the vendors in cross border merger and acquisition of software developer
- acted for the purchaser in cross border mergers and acquisitions in consolidation by public companies of privately owned operators in various industries
- acted for lenders in various land and infrastructure development loans
- acted for lenders in construction financing for 250,000 sq. ft. shopping centre development
- represented the borrower (energy services group) in a US$250,000,000 syndicated credit facility
- acted for the purchaser in privatization of state owned oil and gas exploration company in the former Soviet Union
- acted for purchaser in acquisition and financing of multi-province hotel portfolios
- acted for pension fund purchasers of a 500,000 sq. ft. downtown office complex and development site, and subsequent financing
- acted for pension fund purchasers of 200,000 sq. ft. office complex
- acted for lenders on 5 building portfolio acquisition financing
- acted for lender in construction financing of 230,000 sq. ft. office tower
- acted for lender in construction financing of 175,000 sq. ft. office tower
- acted for vendor in sale of 215,000 sq. ft. industrial building
- acted for pension fund purchasers of a 1,120,000 sq. ft. downtown office/retail complex and associated financing
