Brett Kagetsu is a partner in Gowlings' Vancouver office and Vice-Chair of the Corporate Finance and M&A National Practice Group. Brett advises mining and technology companies listed on the TSX Venture Exchange and the Toronto Stock Exchange in respect of corporate finance, securities and corporate governance matters, as well as in connection with mergers and acquisitions.
Brett has led the legal team on many bought deal public offerings, private placements, IPOs, reverse takeovers, Capital Pool Company qualifying transactions and plans of arrangements, and he has assisted clients with preparing for contentious share holder meetings. He also represents investment dealers in connection with regulatory compliance matters and equity financings of publicly listed issuers.
Brett is an active member of Gowlings’ China Group and has represented Chinese companies that have made investments in Canada or sought a stock exchange listing in Canada.
Brett completed the Canadian Securities Institute’s Canadian Securities Course in 2000 and earned an Award of Excellence for exceptional academic achievement in the course. Some of Brett's representative transactions include:
- Acted for Sabina Gold & Silver Corp. in connection with over $125 million in underwritten bought deal financings
- Acted for Platinum Group Metals Ltd. in connection with a $35 million underwritten public offering
- Acted for Candente Copper Corp. in connection with a $30 million private placement
- Acted for Paramount Gold & Silver Corp. in connection with its acquisition of X-Cal Resources Ltd. by way of a plan of arrangement
- Acted for Mineral Mountain Resources Ltd. on its IPO and subsequent private placement financings
- Acted for Global Securities Corporation, a Vancouver-based investment dealer, on several IPOs and private placements
- Co-author of Canadian Chapter of "Getting the Deal Through" - Securities Finance 2011
- Speaker at KPMG Mining Executive Forum (2010) regarding Canadian Securities laws
- Speaker at several business seminars, including TSX listings roadshows in China and the United States, and is a regular presenter at the TSX Venture Exchange's Rules and Tools corporate governance workshops
