Bryce Kraeker is a partner and head of the business law department in Gowlings' Waterloo Region office. He is a member of both the Corporate Finance and M&A Practice Group and the Private Equity and Venture Capital National Practice Groups.
Bryce advises clients on all aspects of public issuer transactions and regulation, including public offerings of debt and equity, private placements, equity incentive plans, corporate governance, take-over bids, continuous disclosure and M&A transactions.
Bryce also advises both Canadian and international clients on securities dealer and adviser registration issues, particularly relating to compliance issues in respect of private equity and venture capital fund formation and the marketing and distribution of securities in Canada. Bryce also advises on the securities law aspects of derivatives trading.  Bryce represented Sirit Inc. in its C$74 million acquisition by Federal Signal, Clean Harbors in its US$400 million acquisition of Eveready Inc. and C$250 million acquisition of Peak Energy Services Inc., NAV CANADA in its public offerings of in excess of $1 billion of medium term notes, NextEra Energy in its acquisition of an aggregate of 130 MW of wind power generation assets for a total of C$190 million and Walton International in a C$35 million initial public offering of units in a limited partnership formed to acquire 455 acres of undeveloped land in Ontario. Bryce was also significantly involved in the US$5.4 billion acquisition of ATI Technologies and the C$1.4 billion takeover of Gateway Casinos Income Fund. Co-authored “Fund Formation” in the Private Equity 2010 edition of Getting The Deal Through.
