Charlotte Feasby is an associate in Gowlings' Calgary office. Her practice focus is in corporate finance, securities and mergers and acquisitions.
She has worked on a variety of transactions, including initial public offerings, public offerings and private placements of equity securities, take-over bids, plans of arrangement, private equity transactions and public mergers and acquisitions.
Charlotte completed clerkship with Mr. Justice Marshall Rothstein of the Federal Court of Appeal in 2006.  Charlotte has recently been involved in representing:
- CNOOC Limited in its $2.2 billion acquisition of OPTI Canada Inc. by way of plan of arrangement.
- Sinopec International Petroleum Exploration and Production Corporation in its $10.3 billion take-over bid for Addax Petroleum Corporation.
- Sinopec International Petroleum Exploration and Production Corporation in its $2 billion take-over bid for Tanganyika Oil Company Ltd.
- TransCanada Corporation in a number of its equity and debt financings including its:
- $350 million offering of cumulative redeemable rate reset first preferred shares;
- $1.75 billion equity offering;
- $1.28 billion offering of common shares;
- US$1.25 billion offering of 7.625% senior notes due 2039;
- US$750 million offering of 7.125% senior notes due 2019; an
- US$1 billion offering of 6.200% senior notes due 2037.
- An underwriting syndicate led by CIBC World Markets Inc. in connection with a C$35 million public offering of trust units by Zargon Energy Trust.
- An underwriting syndicate led by TD Securities Inc. in connection with a $50 million offering of 5.75% convertible unsecured subordinated debentures by Ivanhoe Energy Inc.
- AltaGas Income Trust in its $590 million take-over bid for Taylor NGL LP.
- Caza Oil & Gas, Inc. in its $11.6 million initial public offering and listing on the TSX and AIM.
- Keyera Facilities Income Fund in its $80 million offering of 8.25% convertible unsecured subordinated debentures.
- Triton Energy Corp. (now Waldron Energy Corporation) in its recapitalization transaction and subsequent public equity offering and private placement.
- AltaGas Income Trust in its $75 million insider bid for AltaGas Utility Group Inc.
- An Alberta-based energy sector private equity firm in connection with several investments in Canadian oil and gas companies.
- A New York-based private equity fund in connection with an investment in a private oil sands company.
- An Alberta-based energy sector private equity firm in connection with the acquisition of several private oilfield services companies.
