Frank Sur is an associate in Gowlings' Calgary office, practising in the areas of corporate finance, mergers and acquisitions and securities law.
Frank has experience in public offerings, private placements, mergers and acquisitions of both public and private companies, asset acquisitions, capital pool transactions, real estate financings, securities enforcement and compliance matters, stock exchange listings and compliance matters (Toronto Stock Exchange and TSX Venture Exchange), corporate governance and continuous disclosure matters.
Frank has advised and worked with many public and private companies of varying sizes in the oil and gas industry, oilfield services sector, technology sector and real estate sector.
- Part of a transaction team for a publicly traded oil and gas company in connection with its acquisition of all of the outstanding securities of a private oil and gas company by way of a purchase agreement for total transaction value of approximately $300 million.
- Part of a transaction team for a tax driven restructuring of a private oil and gas company with a net asset value of approximately $500 million.
- Part of a transaction team for a private equity firm in connection with its acquisition of all of the outstanding securities of a private health care provider with a nationwide franchise for a total transaction value of approximately $16 million.
- Represented a private oil and gas company in connection with its acquisition of certain Saskatchewan based oil and gas assets from another private oil and gas company for total transaction value of approximately $5 million.
- Represented a private mutual fund trust in connection with its launch of an offering memorandum with a maximum offering amount of $35 million.
- Represented a publicly traded oil and gas company in connection with its acquisition of all of the outstanding shares of a private oil and gas company by way of a triangular amalgamation for total transaction value of approximately $77.5 million.
- Represented a publicly traded oil and gas company in connection with its plan of arrangement with a publicly traded oil and gas royalty trust for a total transaction value of approximately $92.2 million.
- Represented a publicly traded international oil and gas company in connection with its "butterfly" corporate re-organization by way of plan of arrangement.
- Represented a publicly traded medical technology company in connection with its $10 million public offering of units consisting of common shares and warrants to Canadian investors and private placement to U.S. investors.
- Represented a publicly traded oil and gas company in connection with its $9 million underwritten private placement of common shares on a "flow-through" basis under the Income Tax Act (Canada).
- Represented a publicly traded oil and gas company in connection with its $12 million brokered private placement of common shares.
- Represented a number of capital pool companies in connection with their initial public offerings and qualifying transactions.
- Part of the transaction team for a multinational oil company on a contested bid for a Canadian target.
