Guy David is a partner in Gowlings' Ottawa office practising in the areas of corporate and structured finance, mergers and acquisitions, banking and international law. His practice covers both transaction-oriented assignments and advising on financial legislation.
Guy also has considerable experience in structuring and negotiating Government of Canada financings, international equipment financings with complex security and inter-lender arrangements, infrastructure and privatization-related project financings.
Guy is the co-author of the 2011 Annotated Bank Act, published by Carswell. A former staff counsel at the Bank of Canada, he has participated in various aspects of the revision of Canadian banking legislation over the years. Guy has also led a major review of the Export Development Act and Canada's participation in international project and trade finance for the Government of Canada. He has advised Canadian crown corporations over a number of years.
He is fully bilingual in French and English.  Over the years Guy has participated in many international transactions in various jurisdictions as counsel to Canadian and foreign banks, Export Development Canada, and commercial enterprises.
Additionally, he has particular expertise in capital markets transactions including:
- Significant involvement in the development of the Canadian revenue bond structure used for financing the privatization of the Canadian air traffic control system and several major Canadian airports;
- Acted as issuer or underwriter’s counsel in over 30 bond financing transactions in the debt capital markets over the past 10 years;
- Drafted securitization legislation for Romania, under contract with International Finance Corporation;
- Participated in a number of Canada – U.S. cross-border securitizations and asset backed financing structures; and
- Advised in the establishment of the Government of Canada's $12 billion Canadian Secured Credit Facility for the purchase of auto receivable-backed securities and also advised on two securitizations under that facility.
