Henry Harris is a partner in Gowlings' Toronto office, practising in the Corporate Finance and M&A National Practice Group. His practice focuses on public and private offerings of securities, mergers and acquisitions and advising on securities regulatory requirements.
Henry advises both Canadian and foreign companies, investors and underwriters on all aspects of Canadian securities regulation, including Canada/U.S. cross-border transactions. Over the past several years he has also participated as a speaker at numerous business and legal seminars held across Canada, the United States and internationally.
In 2009, Henry was recognized as a "Canadian Corporate Lawyer to Watch" in the Lexpert Guide to the Leading US/Canada Cross-Border Corporate Lawyers. In addition, in 2008 Henry received the Lexpert Rising Star Award as one of Canada’s Leading Lawyers Under 40. Chosen among hundreds of nominees across Canada, this Top 40 under 40 award recognizes lawyers who are both leaders in the profession and the community as well as being team players with an outstanding track record of success.
Henry has assisted numerous emerging companies in their initial public offerings, as well as listings on the Toronto Stock Exchange and the TSX Venture Exchange. He has acted as lead counsel in various transactions, including IPOs, Capital Pool Companies and other public financing transactions, takeover bids and reverse takeovers, special warrant offerings and other private placement financings.
For the past 10 years, Henry has served on the Securities Law Subcommittee of the Ontario Bar Association (OBA) and has also served as a member of the OBA Executive Council.
Henry completed the Canadian Securities Course from the Canadian Securities Institute, and has attended courses in New York on U.S. Securities Law.
Henry is lead Canadian counsel to the world's largest online auction marketplace. He has also served on Gowlings teams that acted for Hydro Ottawa on its $200 million cross-Canada offering of senior debentures, and acted for an agency of the Government of Ontario, established through a $1.12 billion capital infusion, to advise on a $320 million public offering of Ontario Opportunity Bonds used to assist municipalities in raising financing for infrastructure projects.
Henry recently served on a Special Committee of the Canadian Bar Association to review a proposal for National Securities Regulation in Canada, which included meeting with Finance Canada and the Expert Panel on Securities Regulation to provide input on the draft National Securities Act.
