Jason Saltzman is a partner in Gowlings' Toronto office, practising corporate finance and securities law with an emphasis on securities offerings, mergers and acquisitions, private equity and venture capital transactions and all other aspects of corporate and securities law.
He works with established and emerging companies world-wide, primarily in the mining, technology, life science, cleantech (including renewable energy, water tech and ag tech), industrial, mid-tech and digital media and entertainment sectors. Jason assists issuers, investment dealers and institutional and private investors on complex equity and debt financing transactions ranging from start-up investments, venture capital and private equity investments, through to larger public offerings.
He has taken numerous companies public on the TSX and TSX Venture Exchange by IPO, reverse takeover, capital pool transactions and direct listings. Jason acts as general counsel in advising TSX, TSX Venture Exchange, Canadian/U.S. inter-listed issuers and private corporate boards in connection with corporate governance, disclosure obligations, securities issuances, executive compensation, hostile and friendly takeover bids and proxy contests, and also advises securities dealers, advisers and other market participants in connection with their registration and compliance issues.
Having developed a strong corporate and commercial practice, Jason advises on share and asset transactions and other business combinations, limited partnership fund formation, licensing and distribution agreements, shareholder agreements and executive employment and consulting agreements.
Jason has made regular trips internationally with the TSX since 2006 to inform emerging companies and their key influencers about the benefits of going public on Canada's TSX.
- Counsel to Nico Mining Ltd. in connection with acquisition, financing and TSX listing of Red Crescent Resources Ltd. in November 2010.
- Canadian counsel to The Gartman Letter in connection with $55 million initial public offering of Horizons AlphaPro Gartman Fund in March 2009.
- Sale of Cyence International Inc. to Davis + Henderson Income Fund for $38 million in December 2008.
- Initial public offering of Excel-Tech Ltd. on TSX in April, 2006 and its subsequent acquisition by Natus Medical Incorporated by Plan of Arrangement for $62 million in November 2007.
- Public offering of Anaconda Mining Inc. on TSX and acquisition of Colorado Minerals Inc. in April 2007.
- Counsel to underwriting syndicate on sale of $200 million principal amount debentures by The University of Toronto in December 2003.
- Public offerings of $500 million receivables-backed notes of CFI Trust, a special purpose securitization vehicle, pursuant to a short-form base shelf prospectus.
