Léonard Serafini is a partner in Gowlings’ Montréal office, practising in securities and corporate law with a particular emphasis on public and private securities offerings and mergers and acquisitions.
Léonard has counseled numerous independent committees in related-party and going private transactions. He has extensive experience acting in respect to take-over bids and for corporate (industrial as well as resource companies) and governmental issuers and investment dealers in connection with numerous public and private offerings of equity, debt, asset-backed securities and synthetic securities in Canada, the U.S. and elsewhere. He has acted as lead counsel in the privatization of Crown corporations and project financings; acted either for the offeror or the offeree or other special interest group in take-over bids, plans of arrangement, mergers or other business combinations or private transactions, and has assisted clients in acquisitions or sales of businesses/assets. Léonard also has experience acting as special counsel to various securities regulators.
Prior to joining Gowlings, he held a one-year clerkship with the Supreme Court of Canada. For many years, Léonard led first-year tutorial programs at McGill University’s Faculty of Law.
He practises in English and French.
