Leslie Gord is a partner in the Corporate Finance and M&A Practice Group in the Toronto office of Gowlings. Leslie practises securities and corporate law with a focus on corporate finance, mergers and acquisitions, and capital reorganizations.
In the course of his corporate finance practice, Leslie has had significant involvement in a large number of public offerings, including common shares and warrants, convertible debentures, mutual fund units, limited partnership units, preferred shares, special warrants, fully paid warrants and rights offerings.
Leslie’s M&A practice has involved acting for clients in connection with numerous business combinations and capital reorganizations of public issuers by way of arrangements and amalgamations, cash and securities exchange take-over bids, reverse take-over bids and issuer bids. Leslie's representative corporate finance work includes:
- Acted for a Delaware incorporated company based in Mississauga, Ontario, which raised approximately $30 million in a cross-border initial public offering with a listing on the Toronto Stock Exchange.
- Acted for a TSX/AMEX listed mining company, which issued US$48.5 million principal amount of convertible notes with warrants attached to its major shareholder and a San Francisco based investment fund.
- Acted on behalf of a TSX/AMEX listed natural resource company, which raised approximately $100 million by way of a short-form MJDS cross border public offering, together with a Canada only private placement of "flow-through" common shares.
- Acted for a TSX/AMEX listed natural resource company in connection with its private placement of 18,500,000 units (each consisting of one common share and one four year warrant), representing a 9.9% undiluted and approximately 18% diluted interest, for $43.5 million to a wholly owned Canadian subsidiary of a major international mining company.
- Acted for a TSX listed junior pharmaceutical company with respect to its issue of approximately 14,000,000 common shares, representing a 9.9% interest, for $12.3 million in a PIPE transaction to five venture capital funds, two managed by a Boston based investment manager and three by a Greenwich based investment manager.

- Acted for a TSX listed Delaware incorporated company, which was acquired by an NYSE listed company in a $125 million cash business combination.
- Acted for a TSX/AMEX listed company, which was acquired by a Denver-based NYSE gold mining company in a $1.3 billion cross-border cash take-over bid.
- Acted for a TSX listed company with a large potash deposit in northeastern Thailand, which was acquired by way of a cash take-over bid by a wholly owed subsidiary of a large publicly traded Thai infrastructure company.
- Acted for a TSX listed gold mining and royalty company that was acquired by a TSX listed gold mining and exploration company in a $1 billion arrangement transaction.
- Acted for a TSX listed gold mining and royalty company, which was acquired by a Denver based NYSE gold mining company in a $14 billion three-way merger.
