Michael Macaulay is an associate in Gowlings’ Vancouver office, practicing in the Business Law Group with an emphasis on corporate finance, securities and mergers and acquisitions.
Michael’s transactional experience includes: public and private equity and debt financings, including venture capital financings; acquisitions and dispositions of shares and business assets; plans of arrangement, take-over bids; and corporate reorganizations. He also advises public and private companies with regards to ongoing corporate and securities law compliance and corporate governance matters.
Prior to joining Gowlings, Michael completed a secondment with a major Canadian-based transportation services provider where he provided support to in-house counsel following its acquisition by a private equity buyer.
- Acted for a foreign-based venture capital fund in its investment in a Series B financing of a Vancouver-based software as a service provider.
- Acted for a TSX listed resource company in the spin-out and listing of a subsidiary pursuant to plan of arrangement under the BC Business Corporations Act.
- Represented a private equity buyer in the acquisition of a BC-based retail chain.
- Acted for a TSX Venture Exchange listed oil & gas company with respect to the acquisition of another TSX Venture Exchange listed oil & gas exploration company by way of a plan of arrangement under the BC Business Corporations Act.
- Represented a venture capital-backed technology company in a series of convertible debt and preferred share financings.
- Member of team that acted for the special committee of a TSX listed mining company in relation to a hostile take-over bid and eventual conclusion of a friendly transaction.
- Member of teams that have acted for underwriters’ syndicates in various prospectus financing transactions.
- Acted for both acquiring and target companies in connection with acquisitions of public company targets in the mining, oil & gas, technology and consumer products industries.
- Acted for a variety of public and private companies in relation to private placements of securities.
- Drafted and negotiated various commercial agreements including mineral rights option agreements, commercial sales agreements, service contracts, finder’s fee agreements and investor relations agreements.
