Pat Burgess is partner in Gowlings' Calgary office, and is the head of the Calgary Energy, Infrastructure and Mining Industry Group.
Pat has more than 27 years experience practising primarily in energy law, and his approach to files on behalf of his clients has always stemmed from his belief that he is retained to facilitate transactions. Pat’s reputation has served him well. When handling a file, it is not uncommon for the other party to not engage independent counsel, as it is recognized that everyone is working together towards completing the transaction.
Prior to joining Gowlings, Pat was principally responsible for ensuring that current and future clients were aware of his previous firm by being the principal "face of the firm", and managing the relationships that the firm had built with industry associations such as the Canadian Association of Petroleum Producers ("CAPP"), the Small Explorers and Producers Association of Canada ("SEPAC"), the Canadian Association of Petroleum Landmen ("CAPL") and the Canadian Energy Law Foundation ("CELF").
Pat was his previous Firm's principal contact and liaison with Globalaw, the international network of 88 law firms with over 5,000 lawyers located in more than 167 cities. Pat was most recently on the board of directors and served on the business development committee of Globalaw. This exposure has led to Pat’s involvement in international energy transactions relating to joint drilling agreements, joint ventures of many kinds and geothermal drilling contracts. In 2011, Pat was invited to join Globalaw as its first individual alumni member. Practicing all aspects of energy law, Pat has extensive experience in oil and gas property acquisitions and dispositions, property exchanges, and diverse joint venture transactions. For over 27 years Pat has negotiated and drafted a variety of contracts relating to all aspects of the energy industry.
Pat's clients include private and public corporations (junior, intermediate and senior) and former energy trusts, both in Canada and the United States. Pat has managed large teams of lawyers for clients and their projects for most of his career.
Pat's most recent transactions have included:
- assisting Crescent Point Energy Corp. in its $610 million acquisition of Wild Stream Exploration Inc.
- assisting Crescent Point Energy Corp. with the transactional aspects of over $2.4 billion of transactions in 2009 and over $2 billion of transactions in 2010.
- creating off balance sheet financing in the form of a royalty on all of the PNG assets of Compton Petroleum Corporation and the acquisition of the royalty by Caledonian Royalty Corporation.
- acting for Eurogas Corporation in its $131 million acquisition of all of the onshore and offshore (Lake Erie) PNG assets of a multi-national E & P corporation.
- assisting a public Canadian E&P corporation client in the structuring and implementation of a joint venture and limited partnership transaction relating to potential producing properties in Montana.
- assisting a public Canadian based international E&P corporation client in the acquisition of producing assets in Trinidad and Tabago.
Operational and Midstream
Pat has extensive experience with midstream transactions of most types, including drafting and negotiating C,O & O Agreements, processing and transportation agreements, and contracts relating to various energy industry facility and infrastructure projects. He has provided advice relating to complex operational issues and the interpretation of industry agreements including farmout agreements, pooling agreements, operating agreements, royalty agreements, freehold leases and facilities agreements.
Pat's most recent midstream transaction was assisting the owners of three gas processing plants in the planning and documentation relating to the decommissioning of two the plants, the expansion and consolidation of the gas streams into the one remaining plant, and the funding agreement required to deliberate the financing of such project.
