Paule Tardif is a partner in Gowlings’ Montréal office. She practises in the financial services, insolvency and restructuring areas.
She has been primarily involved in lending and insolvency; she is also involved in all stages of debt financing from negotiation and initial advance to restructuring, special loans and realization.
Paule has acted in connection with a wide range of loans such as term financing, operating financing, asset-based financing, project financing, acquisition financing, and DIP financing. The financing and restructuring operations in which Paule has acted were at a national and cross-border level in North America. Principally, she represents large financial institutions in syndicated loans and club deals or single lenders as well as borrowers.
She is also a member of Gowlings’ Financial Services Industry Group’s executive committee.
Paule practises in English and French. Paule’s corporate restructuring practice is extensive and includes representing key players in the following:
- restructuring under the CCAA of Abitibi-Consolidated Inc. (acted for the DIP lender);
- Concert Industries’ CCAA filing (acted for the banking syndicate lenders and DIP lenders);
- Viau Auto Location, a renting car pool company (acted for the lender);
- restructuring under the CCAA of Dumoulin Group Inc./Audiotronic Stores (acted for a senior secured creditor);
- bankruptcy of the Norbourg Group of companies, responsible for the most important financial fraud to date in the province of Québec (acting for the trustee);
- restructuring of Solplast Inc. (acted for the secured creditor);
- restructuring and liquidation of Via Route (acted for one of the secured creditors)
- Restructuring under the CCAA of Les Ailes de la mode/San Francisco Stores (acted for the banking syndicate).
Her involvement as corporate restructuring practitioner includes negotiation and drafting of standstill agreement, sale of assets or subsidiaries, restructuring entities and put in place DIP financing and security related thereto.
