Rachel Conway is a partner in the Toronto office with a practice that includes lending, restructuring and insolvency and general corporate commercial transactions.
In lending transactions Rachel represents both lenders and borrowers in secured and unsecured term and revolving facilities, public and private acquisition financings, financings involving income trusts and real estate investment trusts and multi-jurisdictional financings.
Rachel has been involved with financings for a variety of businesses with operations in Canada and the United States, including the manufacturing, power generation and distribution, health care, pharmaceutical, automotive and hospitality sectors.
Rachel acts for a broad range of clients in restructuring and insolvency matters, including financial institutions, borrowers, receivers, monitors, trustees in bankruptcy and trade creditors.
Rachel is also involved in transactions in the energy industry. She has worked with clients in the electricity generation and distribution sectors in negotiating and structuring various operating and acquisition financings and on the development of power projects.
Rachel was part of the Gowlings team that advised British Energy plc and Bruce Power LP with respect to the sale of British Energy's interest in Bruce Power to a consortium of Canadian investors, and has also provided advice in relation to power purchase agreements, ISDA transactions and on insolvency matters to a variety of market participants.
