Richard Myers is a partner in Gowlings' Calgary office, practising general corporate commercial law with emphasis on debt financing, acquisitions and divestitures, including asset and share purchases, and derivative transactions.
Before studying law, Richard worked as an economist for the Bank of Canada and later as a Canadian foreign service officer posted in Hong Kong and Germany.
Richard has been involved in a wide variety of commercial and financial transactions, including the following:
- counsel to the syndication agent and lead lender on a $1 billion syndicated credit facility to a senior oil and gas producer;
- counsel to the syndication and lead lender on a $1 billion syndicated credit facility to a major oil and gas royalty trust;
- counsel to a lender under a $775 million bilateral uncommitted standby credit facility to a major integrated oil and gas company;
- counsel to a major Canadian royalty trust in respect of the negotiation and implementation of internalization of its management services;
- counsel to a Canadian royalty trust in relation to a US acquisition and cross border financing;
- counsel to the syndication agent and lead lender on a $350 million multi-facility credit to a holding company with diverse transportation, manufacturing and retail interests;
- counsel to a real estate lender in respect of the financing to a joint venture of a ¾ Section, phased residential lot development;
- counsel to various counterparties in respect of commodity, interest rate and equity hedges, including representation of a party holding a "control block" in an equity monetization;
- counsel to an Alberta trust corporation with respect to a variety of financings, including financings of movie productions, Broadway plays and resource flow-thru investments;
- counsel to vendors in relation to the tax efficient sale of a locally based technology company to an American purchaser; and
- counsel to the lender on a bilateral project financing of a natural gas pipeline.
