Samir Gassanov is a senior associate in the Toronto office, acting for a range of clients in real estate, construction and procurement, infrastructure and PPP, energy and nuclear, waste management and social housing sectors. More specifically, he practises in the following areas:
Commercial Real Estate
Samir advises on all aspects of commercial real estate, including acquisition, divestiture and development of commercial properties, commercial leasing and real estate financing. His practice encompasses a variety of commercial and real property-related issues, including commercial and industrial purchase and sale transactions, commercial, industrial and retail leasing, and secured financing and mortgage lending.
Samir’s experience in commercial real estate includes acting for land owners and developers in connection with renewable energy projects, such as solar ground-mount and rooftop, wind and water projects.
Construction and Infrastructure
Samir has extensive experience drafting and negotiating construction and commercial contracts, including CCDC, OAA, and RAIC documents, fixed-price, cost-plus, and professional services agreements, design-build (and DBO/DBFO), construction and project management agreements, RFP/tenders for various office, hospital, detention centre, tunnel, nuclear, social housing and other infrastructure and development projects.
Regulatory and Advisory Practice
Real Estate and Business Brokers Act, 2002 (REBBA)
Samir regularly advises on the rights and obligations of real estate agents and brokers under REBBA and on RECO’s (Real Estate Council of Ontario) regulatory framework and practice guidelines. Samir has extensive experience assisting clients with registration and compliance under REBBA with respect to trading in real estate.
Samir also regularly advises on issues related to ecommerce laws and real estate, including on record keeping and reporting to FINTRAC (Financial Transactions and Reports Analysis Centre of Canada) under the federal Proceeds of Crime (Money Laundering) and Terrorist Financing Act and on requirements under Ontario’s ecommerce laws and REBBA governing client identification and fraud prevention practices.
Private Career Colleges Act, 2005 (PCCA)
Samir has extensive experience and regularly advises on the PCCA governing private career colleges in Ontario, including advising on the registration and approval of educational programs and ongoing compliance.
Accessibility for Ontarians with Disabilities Act, 2005 (AODA)
Samir has thorough knowledge of Ontario’s legislative framework and constitutional issues arising out of provincial accessibility laws, including their impact on federal undertakings. He regularly provides compliance advice to various organizations, including not-for-profits and multi-nationals operating in Ontario, in connection with the standards under the Customer Service and Integrated Accessibility regulations.
