Sarah MacLeod is an associate in Gowling’s Calgary office, practising in the area of energy, natural resources and business law. She advises clients with respect to energy-related transactions including the drafting and negotiation of purchase and sale agreements, overseeing and managing acquisition and divestiture due diligence, and negotiating, drafting and interpreting midstream and upstream agreements.
Prior to joining Gowlings, Sarah was employed at an energy law boutique and a national law firm where she was able to expand her expertise within the energy sector.
- Lead Counsel on multiple acquisition and divestiture due diligence projects in respect of oil and gas assets in British Columbia, Alberta, Saskatchewan and Manitoba.
- Advises clients on ongoing oil and gas regulatory compliance and enforcement issues.
- Assisted in the development of a multi-million dollar plan of arrangement for a Calgary-based junior oil and gas company, and completed its application and related filings to move from the TSX Venture to the TSX, corresponded with the finance department to ensure compliance with the continuous disclosure requirements under the National Instrument 51 - 102, and prepared the company's audit committee, compensation committee and reserves committee charters as well as the company's whistleblowing policy.
- Negotiated and drafted multiple agreements for junior, mid-size and international oil and gas companies including purchase and sale agreements, pooling agreements, farmout agreements, gas handling agreements, construction, ownership and operation agreements, and security agreements.
